Welcome to OpenHouse ("Platform", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the OpenHouse platform, including our website, mobile applications, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
2. About OpenHouse
OpenHouse is a real estate tokenisation platform that enables users to purchase fractional ownership interests in UK residential properties through blockchain-based tokens. Each token represents a proportional ownership stake in a specific property, entitling holders to their share of rental income distributions.
OpenHouse Technologies LTD is registered in the United Kingdom with company number 16575062 and registered address at 106 Flat 6, Lower Road, Hullbridge, Hockley, England, SS5 6DD.
3. Eligibility
To use our Services, you must:
Be at least 18 years of age
Have the legal capacity to enter into binding contracts
Successfully complete our Know Your Customer (KYC) verification process
Not be a resident of a jurisdiction where participation is prohibited
Not be on any sanctions list or otherwise prohibited from transacting
3.1 Restricted Jurisdictions
Our Services are not available to residents of:
Countries subject to comprehensive sanctions (including North Korea, Iran, Syria, Cuba, and Crimea region)
Any other jurisdiction where offering such services would be unlawful
4. Account Registration
4.1 Account Creation
To access certain features, you must create an account by:
Providing accurate, current, and complete information
Completing identity verification (KYC) requirements via our partner Persona
Creating or connecting a compatible cryptocurrency wallet
4.2 Account Security
You are responsible for:
Maintaining the confidentiality of your account credentials
Safeguarding your wallet private keys and recovery phrases
All activities that occur under your account
Notifying us immediately of any unauthorized access
We will never ask for your private keys or seed phrases.
5. Platform Services
5.1 Token Purchases
Property tokens may be purchased using USDC on the Base network
Each token represents a fractional ownership interest in the underlying property
Token prices are displayed on the Platform and may fluctuate based on market conditions
Minimum investment amount is $20
All purchases are final once confirmed on the blockchain
5.2 Rental Income Distribution
Rental income is distributed to token holders proportionally
Distributions are made in USDC and can be claimed through the Platform
Distribution frequency and amounts depend on rental performance and expenses
Platform fees are deducted from rental income as specified in our Fee Structure
5.3 Secondary Trading
Tokens may be bought and sold through the Platform's liquidity pools
Secondary market prices may differ from initial offering prices
Liquidity is not guaranteed
6. Fees
The following fees apply to Platform transactions:

Sourcing Fee
2.5% (one-time, from raise)
Withdrawal
Gas fees covered by OpenHouse
Fees are subject to change with reasonable notice. Current fee schedules are always displayed before you confirm any transaction.
7. Risks
7.1 Investment Risks
You acknowledge that:
Real estate investments carry inherent risks including market, liquidity, and regulatory risks
Property values may decrease as well as increase
Rental income is not guaranteed and may vary
Past performance does not guarantee future results
You may lose some or all of your investment
7.2 Technology Risks
Smart contracts may contain bugs or vulnerabilities
Blockchain networks may experience congestion or failures
Digital assets may be lost due to wallet compromise
The Platform may experience downtime or technical issues
7.3 Regulatory Risks
Regulations governing digital assets and tokenised securities are evolving
Changes in law may affect the Platform's ability to operate
Your ability to hold or trade tokens may be impacted by regulatory changes
8. Prohibited Activities
You agree not to:
Violate any applicable laws or regulations
Provide false or misleading information
Attempt to manipulate markets or prices
Use the Platform for money laundering or terrorist financing
Interfere with Platform security or operations
Create multiple accounts to circumvent restrictions
Use automated systems to access the Platform without permission
9. Intellectual Property
All content, trademarks, and intellectual property on the Platform are owned by or licensed to OpenHouse Technologies LTD. You may not reproduce, distribute, or create derivative works without our express written consent.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee:
Uninterrupted or error-free service
Accuracy of information on the Platform
Any specific investment returns
Security of funds against all possible threats
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENHOUSE TECHNOLOGIES LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
Our total liability shall not exceed the greater of:
The fees paid by you in the 12 months preceding the claim, or

12. Indemnification
You agree to indemnify and hold harmless OpenHouse Technologies LTD, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
Your use of the Services
Your violation of these Terms
Your violation of any third-party rights
13. Modifications
We may modify these Terms at any time by posting updated Terms on the Platform. Material changes will be notified via email or Platform announcement. Continued use after changes constitutes acceptance.
14. Termination
We may suspend or terminate your account at any time for:
Violation of these Terms
Suspected fraudulent activity
Regulatory requirements
Extended inactivity
Upon termination, you retain ownership of any tokens held but may lose Platform access.
15. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be resolved exclusively in the courts of England and Wales, except where prohibited by law.
